Terms of Service
Important Notice: By registering, subscribing to any plan, or using the VendorPot platform in any capacity, you (the user) and your company acknowledge, agree to, and give full consent to all policies established by VendorPot, including but not limited to these Terms of Service, Privacy Policy, Fair Competition Policy, Lead Guarantee Policy, and Refund Policy. Your continued use of the platform constitutes ongoing acceptance of these terms.
Regulatory and Legal Compliance
VendorPot maintains controls designed to support compliance with applicable laws, including:
- GDPR - General Data Protection Regulation (EU)
- GCC Data Protection Laws - UAE, Saudi, Qatar, Bahrain, Kuwait, and Oman PDPLs
- DPDP Act - Digital Personal Data Protection Act (India)
- Consumer Protection Laws - Local and international consumer protection laws
- E-Commerce Regulations - GCC e-commerce regulations
Acceptance of Terms
By using the VendorPot platform, you agree to be bound by these Terms of Service and all related policies. If you do not agree to these terms, you must not use the platform.
These terms govern your use of the entire platform, including all services, features, content, and functionality offered through it.
User Accounts and Eligibility
Eligibility Requirements:
- You must be 18 years of age or older
- You must have authority to represent a business entity
- You must provide accurate and complete information
- You must comply with all applicable local laws
Account Responsibilities:
- Maintain confidentiality of your login credentials
- Notify us immediately of any unauthorized use
- Keep your account information current and accurate
- You are responsible for all activities under your account
- If you use a passkey or an authenticator app, you are responsible for protecting the devices, authenticators, and codes used to access your account
- You are responsible for account recovery and for notifying us if an authentication device or method is lost or compromised
VendorPot does not store biometric data, such as fingerprints or facial images, when you use a passkey or an authenticator app.
Beta and Preview Features
Beta or preview features may change, may include experimental or preview functionality, and may be modified, suspended, or removed. They are provided as part of controlled platform improvement and testing.
AI-Assisted Features
AI outputs are assistance only. AI-generated suggestions and recommendations may require review. Users remain responsible for their business decisions and must review actions before confirming them.
User-Authorized Actions:
When a user confirms an AI-assisted action, it is treated as a user-authorized platform action. The action remains subject to backend permissions and platform controls. Examples include product creation, RFQ creation, and profile updates.
RFQ Visibility
An open RFQ may be visible to eligible vendors. A directed RFQ is shared with selected vendors. Buyers control RFQ visibility, subject to VendorPot platform rules.
Referrer Opportunities
Internal or external referrer opportunities may be submitted, processed, routed or forwarded, and restricted based on platform rules. Engagement and related activity may be tracked where relevant.
Lead Previews and Subscription Access
Unsubscribed or limited-access vendors may see a preview of lead requirements. Buyer identity and contact information may remain masked. Full disclosure may depend on subscription or access conditions, or on other authorized platform rules.
Data Processing and Privacy
By using our platform, you consent to:
- Our collection and use of your personal data as outlined in Privacy Policy
- Cross-border data transfers in accordance with data protection standards
- Processing of your data for purposes outlined in our agreement
- Sharing of contact information with other parties on the platform for legitimate business purposes
Your Data Rights:
You have the right to access, rectify, erase, restrict, and port your data, as provided by applicable data protection laws (GDPR, PDPL, DPDP).
Prohibited Activities
You are prohibited from:
- Violating any local or international laws or regulations
- Engaging in fraudulent or deceptive conduct
- Posting false or misleading information
- Infringing on intellectual property rights
- Attempting unauthorized access to systems
- Interfering with platform security or integrity
- Manipulating ranking or review mechanisms
- Collecting other users' data without consent
- Scraping platform content or data
- Abusing AI functionality
- Bypassing role or permission controls
- Attempting to extract unauthorized buyer, vendor, or user data
- Manipulating recommendations or search results
- Automated misuse of the platform
Account Suspension and Termination
VendorPot reserves the right, at its sole discretion, to:
- Suspend or terminate your account at any time, with or without notice
- Block access to the platform for any violation of these terms
- Delete or remove any content that violates our policies
- Refuse service to any user for any reason
- Take legal action in case of serious violations
Important Notice:
VendorPot is not required to provide detailed explanation or advance notice before suspending or terminating accounts. Violation of our policies may result in immediate service termination without refund.
Reasons for Termination:
- Breach of Terms of Service or any platform policy
- Fraudulent or deceptive conduct
- Failure to pay or prolonged inactivity
- Repeated reports of policy violations
- Engaging in illegal activities
Data Retention After Termination
Upon account termination:
- We may retain your data for legal compliance obligations (up to 7 years)
- Non-essential account data may be deleted within 90 days
- We may retain anonymized data for analytics and improvements
- You may request data deletion in accordance with our Privacy Policy
Intellectual Property
All content, features, and functionality on the VendorPot platform are the exclusive property of VendorPot Limited and protected by international copyright, trademark, and intellectual property rights.
You retain ownership of content you upload, but grant VendorPot a worldwide, non-exclusive license to use it on the platform.
Limitation of Liability
To the maximum extent permitted by law, VendorPot shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use or inability to use the platform.
Our total liability to you shall not exceed the amount you paid to us in the preceding 12 months.
Governing Law and Dispute Resolution
These terms are governed by and construed in accordance with the laws of the United Arab Emirates.
Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates.
Changes to Terms
We reserve the right to modify these terms at any time. We will notify you of material changes via email or through a prominent notice on the platform. Your continued use of the platform after such changes constitutes acceptance.
